Terms and Conditions
These Terms and Conditions ("Agreement") govern the use of the Edword software-as-a-service (SaaS) solution ("Service") provided by Edword Learning ApS ("Provider" or "we", "us", "our") to institutions and their authorized users ("User" or "you", "your"). By accessing or using the Service, you agree to be bound by these Terms and Conditions.
1. Definitions
- Provider: Edword Learning ApS, the entity offering the Service.
- Service: The Edword SaaS modules for 1) “Teacher feedback”, 2) “Plagiarism and AI scanning” 3) “Peer Feedback” and 4) “In-class test”. These modules can be used with students' written work.
- User: Any individual member of staff (educators), students or administration authorized by a contracting institution to access and use the Service.
- Written Work: Any text document submitted by a student as a written submission, uploaded by a User to the Service.
- Fair Usage: The specified limit on the volume of scanning in the Plagiarism and AI scanning module allowed per student per year, as detailed in Section 2.4.
2. User rights and responsabilities
2.1 License to Use
Subject to these Terms and Conditions and payment of applicable fees, the Provider grants the User a non-exclusive, non-transferable, limited right to access and use the Service for the purpose of learning from written work and of academic integrity checking within the scope of the institution's license.
2.2 User Responsibilities
You agree to:
- Ensure that all use of the Service complies with all applicable laws and regulations, and the policies of your educational institution.
- Maintain the confidentiality of your login credentials and notify the Provider immediately of any unauthorized use of your account.
- Obtain all necessary rights, licenses, and permissions for the Written Work uploaded to the Service, including any required consent from students whose work is being submitted.
- Not use the Service for any purpose other than to handle students' written submissions, and/or for any purpose that is illegal, fraudulent, or in violation of this Agreement.
- Cooperate with the Provider in investigating any suspected breaches of this Agreement.
2.3 Acceptable Use
The Service is intended solely for educational use in the context of written work. You shall not:
- Attempt to reverse engineer, decompile, or disassemble the Service.
- Introduce any viruses, malware, or other harmful code into the Service.
- Use the Service to scan content that is not genuine student Written Work.
- Interfere with the security or operation of the Service.
2.4 Fair Usage Policy
Use of the Service is subject to a Fair Usage policy to ensure the stability and availability of the Service for all users. The Fair Usage limit is set at an average of 100 pages per student per year in the module used to scan for Plagiarism and AI usage
- This limit is calculated based on the total number of pages in the Written Work submitted for scanning associated with an individual student account over a one-year period.
- The Provider reserves the right to monitor usage and may contact the contracting institution to discuss excessive usage.
- Continued usage significantly exceeding the Fair Usage limit may result in the Provider temporarily restricting or suspending the User's or institution's access to the Service until an alternative arrangement is agreed upon, such as the purchase of additional capacity.
3. Limitations of Liability
3.1 Disclaimer of Warranties
The Service is provided on an "as-is" and "as available" basis. The Provider makes no warranties, express or implied, regarding the Service, including but not limited to the accuracy, reliability, or completeness of the scanning results. The Service is a tool to assist in academic integrity assessment and should not be relied upon as the sole basis for disciplinary action.
3.2 Exclusion of Damages
To the maximum extent permitted by law, the Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service.
- Any conduct or content of any third party on the Service.
- Unauthorized access, use, or alteration of your transmissions or content.
3.3 Maximum Liability
The total aggregate liability of Edword Learning ApS to you for all claims arising out of or relating to this Agreement, whether in contract, tort, or otherwise, shall not exceed €20,000.
4. Governing Law
This Agreement, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of Denmark, unless otherwise explicitly stated in a separate written contract between the Provider and the contracting institution.
5. Amendments
We may modify these Terms and Conditions from time to time. We will communicate changes by posting the revised Terms and Conditions on the Service or via email to the primary contact provided by the contracting institution.
- All changes will be effective on the date specified in the revision, which will be no less than thirty (30) days after the notification date.
- Your continued use of the Service after the effective date of the amendments constitutes your acceptance of the revised Terms and Conditions.
- If you do not agree to the new terms, you must cease using the Service.
